Please read this Risk Disclosure carefully before using the OneLink Pay platform. By accessing or using our Services, you acknowledge that you have read, understood, and accepted the risks described herein. This document does not purport to disclose all risks associated with the Services. You should conduct your own due diligence and seek independent professional advice as appropriate.

1. General Risk Statement

The use of B2B payment platforms, digital asset services, and cross-border financial technology services involves inherent risks. The value of digital assets, including stablecoins, may fluctuate, and past performance is not indicative of future results. You should not use the Services unless you understand and are willing to accept the risks involved.

NexviaOneLink LLC ("NexviaOneLink") provides the OneLink Pay platform on an "as is" and "as available" basis. While we strive to provide reliable and secure services, we cannot guarantee uninterrupted access, error-free operation, or the absence of all risks described in this disclosure.

2. Not a Bank

NexviaOneLink is not a bank, depository institution, or licensed money transmitter. OneLink Pay is a technology platform that facilitates B2B payments through licensed third-party infrastructure partners. We do not accept deposits, issue loans, or provide banking services.

Funds held on the OneLink Pay platform are not bank deposits and do not carry the protections associated with traditional bank accounts. Your relationship with NexviaOneLink is governed by our Terms of Service and is not a banking or fiduciary relationship.

3. Digital Asset Risks

Stablecoins and other digital assets used on the OneLink Pay platform are not deposits and are not insured by the Federal Deposit Insurance Corporation (FDIC), the Securities Investor Protection Corporation (SIPC), or any other governmental or quasi-governmental agency. There is no government guarantee of the value of any digital asset.

While stablecoins are designed to maintain a stable value relative to a reference currency, there is no guarantee that a stablecoin will maintain its peg at all times. Stablecoin issuers may face financial difficulties, regulatory actions, or operational failures that could affect the redemption value or liquidity of the stablecoin.

Digital assets may be subject to loss, theft, or unauthorized access due to cyberattacks, software vulnerabilities, or other security incidents. The regulatory status of digital assets varies by jurisdiction and is subject to change, which could materially affect their value and the ability to use them through our platform.

4. Third-Party Infrastructure

The Services provided through OneLink Pay may rely on third-party infrastructure partners, including payment processors, banking partners, stablecoin custodians, blockchain networks, and other service providers. NexviaOneLink does not control the operations, policies, or security practices of these third-party partners.

Disruptions, failures, or changes in the services provided by our infrastructure partners may affect the availability, timing, or functionality of the OneLink Pay platform. We are not liable for the acts or omissions of third-party infrastructure partners, and we cannot guarantee that their services will be available or perform as expected at all times.

5. Availability

The availability of specific Services, features, payment corridors, and currencies depends on multiple factors, including your jurisdiction, business type, customer eligibility, compliance status, and the approval and capabilities of our infrastructure partners. Not all features are available in all jurisdictions.

We may modify, suspend, or discontinue any feature or service at any time, with or without notice, based on regulatory requirements, partner decisions, or operational considerations. The availability of the platform itself may be subject to scheduled maintenance, unscheduled downtime, or force majeure events beyond our control.

6. Transaction Delays

Transactions processed through the OneLink Pay platform may be subject to delays, rejections, restrictions, or returns due to compliance review, risk assessment, documentation requirements, partner processing times, or regulatory holds. We do not guarantee specific processing times for any transaction.

Compliance reviews may require additional documentation or information from you, which may further delay transaction processing. Funds may be held in a pending status for an extended period if we are unable to verify the source of funds, the legitimacy of the underlying transaction, or the identity of the parties involved. In some cases, transactions may be permanently rejected or funds may be returned to the sender.

7. No Guarantee of Service

NexviaOneLink does not guarantee the availability of specific payment corridors, currencies, payment rails, conversion rates, or service features. The availability and terms of specific services may change at any time based on regulatory developments, partner capabilities, market conditions, or our own operational decisions.

We do not guarantee that you will be able to complete any specific transaction or that the Services will meet your particular business requirements. You should not rely exclusively on the OneLink Pay platform for critical business payments without maintaining alternative payment arrangements.

8. Regulatory Risk

The regulatory landscape for digital assets, cross-border payments, and financial technology is evolving rapidly and varies significantly across jurisdictions. Changes in laws, regulations, or regulatory interpretations may materially affect the availability, features, cost, or legality of the Services in your jurisdiction.

Regulatory actions, including new licensing requirements, sanctions designations, enforcement actions, or changes in compliance standards, may require us to modify, restrict, or discontinue certain services or features with limited or no advance notice. We are not liable for any losses arising from regulatory changes that affect the Services.

9. Counterparty Risk

Transactions on the OneLink Pay platform may involve counterparty risk, meaning that a party to a transaction may fail to fulfill its obligations. While we conduct compliance reviews on platform users, we do not guarantee the creditworthiness, reliability, or performance of any counterparty to a transaction.

You are responsible for conducting your own due diligence on your business counterparts. NexviaOneLink is not a party to the underlying commercial transactions between platform users and their business counterparts and assumes no liability for disputes, defaults, or losses arising from those transactions.

10. Technology Risk

The OneLink Pay platform relies on complex technology infrastructure, including software, networks, blockchain protocols, and third-party APIs. These systems may be subject to bugs, errors, vulnerabilities, cyberattacks, or failures that could result in service interruptions, transaction errors, or loss of funds.

Blockchain networks used for stablecoin transactions may experience congestion, forks, or protocol changes that could delay or affect transactions. Smart contract vulnerabilities, oracle failures, or network attacks could also impact the Services. While we implement robust security measures, no technology system is immune to all risks, and we cannot guarantee the absence of security incidents.
